If we are considering buying two, three, five or more properties to let, one of the first tax questions we need to resolve is whether to buy them personally or set up a company to invest in property in Barcelona.
The answer does not depend solely on the number of flats.
We need to analyse the type of letting we will undertake, the profit we expect to make, whether we wish to use the rental income personally or reinvest it, the financing we will need and what will happen to the assets in the long term.
At Barcelona Tributario, we are tax lawyers specialising in wealth planning and property investment in Barcelona. Before setting up a company, we calculate the scenario as an individual and compare it with a corporate investment to determine which structure makes sense for each investor.
Quick answer: setting up a company to invest in property in Barcelona can be worthwhile when we want to build a portfolio, reinvest profits, bring in partners or professionalise a property business. However, it does not always mean paying less tax. For residential lettings, an individual may apply certain reductions to positive net income that a company does not benefit from in the same way. This is why we need to run the numbers before the first purchase.
I am going to buy several flats in Barcelona: as an individual or through a company?
This is the comparison we should make before signing any purchase.
Are you considering buying several properties in Barcelona and unsure whether you need a company? Our tax lawyers analyse your specific situation and explain which structure is right for you before you make any decision.
Buying personally
The properties belong directly to the investor, and the income received is declared in their Personal Income Tax (IRPF) return.
Where the requirements are met, we can deduct numerous expenses associated with the let property, including financing, maintenance and repairs, property tax (IBI), insurance, certain legal expenses and depreciation.
Buying through a company
In this case, the company owns the property.
Income and expenses form part of the company’s result, and profits are taxed under Corporate Income Tax.
However, there is one fundamental difference: the company’s money is not automatically the shareholder’s personal money.
If we later want to withdraw the profits as dividends, we must also analyse the shareholder’s tax position.
The mistake of simply comparing Personal Income Tax with 25% Corporate Income Tax
This is probably the most common mistake when considering a company to invest in property in Barcelona.
We cannot compare the highest marginal Personal Income Tax rate with the general Corporate Income Tax rate and conclude that a company always pays less.
Individuals can claim deductible expenses
For lettings, we can deduct tax-allowable expenses before calculating net income.
Residential lettings may benefit from Personal Income Tax reductions
For lettings intended as a residence, where the legal conditions are met, a reduction may apply to positive net income.
For contracts subject to the current regime, there is a general 50% reduction, which may increase to 60%, 70% or 90% in certain circumstances.
This can completely change the comparison between investing personally and through a company.
The company tax position does not necessarily end with Corporate Income Tax
If we want to spend the profit personally, there may be a second layer of taxation when dividends are distributed.
We must therefore compare:
- Taxes during the operation.
- Tax treatment when withdrawing profits.
- Tax treatment of a future sale.
- Structure maintenance costs.
- Wealth and inheritance tax.
An example of the question we really need to answer
Let us imagine an investor who wants to buy four flats in Barcelona.
It is not enough to ask:
“How much tax does an SL pay?”
We need to know:
- Price of each property.
- Financing.
- Expected rent.
- Expenses.
- Type of tenancy agreement.
- The investor’s personal income.
- Need to withdraw funds.
- Reinvestment plan.
- Expected sale timeframe.
- Existing assets.
Only then can we calculate whether a company to invest in property in Barcelona is genuinely worthwhile.
What taxes does a property company pay?
The company calculates its profit by deducting tax-allowable expenses from its income.
Corporate Income Tax
The general Corporate Income Tax rate is 25%, although different rates currently apply to certain small companies that meet the legal requirements.
We should not assume that every property company will automatically qualify for those reduced rates.
Asset-holding company
For tax purposes, an entity may be considered an asset-holding company when more than half of its assets consist of securities or assets not used in an economic activity.
This classification may prevent access to certain tax incentives.
For this reason, an SL that simply owns flats should not automatically be confused with a property company carrying out a genuine economic activity.
Do I need an employee for letting to qualify as an economic activity?
This point is particularly important in property structures.
For the purposes of the Corporate Income Tax Act, property letting is considered an economic activity when at least one person employed under a full-time employment contract is used to organise it.
This does not mean that artificially hiring someone automatically turns the entire structure into a family business.
We must assess whether there is a genuine organisation and then verify the other requirements for each tax benefit.
Can a company deduct many more expenses than an individual?
It is not advisable to approach the issue in that way.
An individual who lets a property can also deduct numerous expenses necessary to generate the income.
These may include:
- Interest and financing.
- Repairs and maintenance.
- Property tax (IBI) and certain charges.
- Service charges.
- Insurance.
- Legal defence.
- Depreciation.
The difference between investing personally and through a company should not simply be based on the idea that “the company can deduct everything”.
Each expense must meet the relevant tax requirements and be properly supported.
When using a company may be worthwhile
A company to invest in property in Barcelona may start to make more sense for certain investment models.
We want to reinvest profits systematically
If the aim is to retain profits within the company to finance new acquisitions, there is no immediate distribution to the shareholder.
This can facilitate a process of business growth and reinvestment.
There are several investors
A company makes it possible to define ownership percentages and establish rules through its articles of association and, where appropriate, shareholders’ agreements.
We want to separate different projects
For larger structures, we can assess whether it is advisable to separate assets or developments into different companies.
There is a genuine property business
When the portfolio reaches a sufficient scale and there is a genuine business organisation, the tax analysis may be very different from that of someone who simply owns two let properties.
We want to organise a broader business structure
If the investor already has trading companies, co-investors or other activities, it may make sense to consider a corporate or holding structure.
When it may be preferable to hold flats personally
There are also situations where setting up a company brings more costs than benefits.
Few properties
If the portfolio is small, the costs of accounting, corporate obligations, tax compliance and company administration must be weighed against any potential benefit.
Residential letting
The Personal Income Tax reductions available for certain residential lettings may mean that an individual’s effective tax rate is considerably lower than simply looking at their marginal rate would suggest.
We need the rental income to live on
If all profits generated by the company are to be distributed to the shareholder each year, we must include the taxation of those dividends in the calculation.
There is no genuine business activity
Setting up an SL does not by itself turn asset management into an economic activity.
Buying homes in Barcelona: beware of ITP
Acquisition taxes have become particularly important for anyone looking to build a portfolio of properties in Catalonia.
General rates
For acquisitions subject to Transfer Tax (ITP), Catalonia currently applies a progressive general rate for properties.
The scale starts at 10% and can reach 13% in bands for higher-value properties.
Large-scale landlord
Since 2025, there has also been a specific 20% rate for certain purchases of homes by taxpayers classified as large-scale landlords.
Purchasing entire residential buildings
There is also a 20% rate for certain acquisitions of entire residential buildings.
This is particularly relevant for an investor intending to build a portfolio quickly.
Before each acquisition, we must check the buyer’s status on the date of the transaction.
Is an SL or a property holding company better?
A holding company should not be the automatic starting point.
It normally makes sense to consider one when there are several companies or activities that we want to organise under a parent company.
What a holding company can provide
It can centralise ownership of different companies, organise new investments and facilitate certain corporate transactions.
Dividends between companies may benefit from the regime provided for in Article 21 of the Corporate Income Tax Act where its requirements are met.
What a holding company does not do
It does not automatically turn properties into exempt assets.
It does not eliminate Corporate Income Tax.
It does not allow you to withdraw money personally without considering its tax treatment.
Nor does it in itself guarantee the application of the family business regime.
Can I keep the flats in the company and apply the family business regime?
This is another area where we must avoid oversimplification.
A poor structure from the outset can cost you thousands of euros in unnecessary taxes. Request an initial meeting with our team and design your property investment in Barcelona in a tax-efficient way.
For certain shareholdings to access benefits related to the family business regime, several requirements must be met.
Among other matters, we must analyse:
- Whether the entity carries out an economic activity.
- Whether its main activity is asset management.
- Shareholding percentage.
- Management functions.
- Remuneration arising from those functions.
- Which assets are genuinely used in the activity.
In property letting, moreover, the existence of the required business organisation is particularly relevant.
Therefore, setting up a company because we want to pass the flats on to our children in the future does not automatically guarantee a 95% Inheritance Tax reduction.
What happens if I already own the flats personally?
If we already own them personally, transferring them to a company later may have a tax cost.
We can use a sale, a non-cash contribution or other arrangements, but we must first analyse their consequences.
Personal Income Tax
The contribution or transfer may generate a capital gain for the individual.
Indirect taxes
Depending on how the transaction is structured, we need to review VAT, ITP and AJD.
Municipal capital gains tax
Where urban land is involved, we must also analyse the Tax on the Increase in Value of Urban Land.
Tax neutrality
There are certain special regimes for restructuring transactions, but their application requires specific conditions.
We should not assume that we can “transfer the flats to the SL” without a tax cost.
Why it is usually better to consider the structure before buying
If we have not yet completed the acquisition, we have much greater planning flexibility.
We can decide who should appear as the buyer from the outset.
This avoids having to consider a later transfer from our personal assets to the company.
For this reason, we recommend considering a company to invest in property in Barcelona before signing the next deposit agreement, rather than after building up the entire portfolio.
What if I am a foreign investor?
Barcelona attracts numerous investors who are not yet tax resident in Spain or who hold assets in other countries.
In those cases, we must also analyse:
- The investor’s tax residence.
- Double taxation treaty.
- Taxation of dividends.
- International financing.
- Related-party transactions.
- Wealth tax and large fortunes tax.
- Future sale.
- Inheritance planning.
Setting up a Spanish company may be entirely possible, but we should not consider only the company’s taxation in Spain.
Does an SL fully protect my personal assets?
Limited liability is a relevant legal distinction, but it should not be understood as absolute protection.
The company is liable for its obligations with its own assets.
However, there may be personal guarantees to banks, directors’ liabilities and other circumstances where the specific situation must be assessed.
How we analyse a property investment at Barcelona Tributario
Before recommending a company to invest in property in Barcelona, we analyse the entire project.
1. Current assets
Existing properties, investments, companies, financing and overall asset position.
2. Upcoming acquisitions
How many properties we want to buy, their price and location.
3. Type of operation
Residential, temporary or tourist lettings where possible, commercial premises or other arrangements.
4. Expected profitability
Income, expenses, financing and estimated net profit.
5. Individual
We calculate the approximate tax position, taking into account applicable expenses and reductions.
6. Company
We calculate Corporate Income Tax, company costs and what would happen if profits were subsequently distributed.
7. Purchase and future sale
We include acquisition taxes and the potential tax cost of selling the investment.
8. Wealth and inheritance
Where the scale justifies it, we also analyse the impact on wealth and inheritance.
So, how many flats make a company worthwhile?
There is no magic tax number.
It is not correct to say that from two, three or five properties onwards, we should always set up an SL.
An investor with five homes for residential letting may face a completely different scenario from another with two commercial premises, high financing and a plan to reinvest all profits for ten years.
What matters is the overall economic and tax outcome.
Questions we need to answer before deciding
- How many properties do we want to buy?
- What net return do we expect?
- Will we let them as homes?
- Do we need to use the rental income personally?
- Will we reinvest the profits?
- Will there be other partners?
- Will we use financing?
- Could we become a large-scale landlord?
- Do we plan to sell the properties in the medium term?
- Do we want to pass the assets on to our children?
With these answers, we can begin designing the structure.
Conclusion: the company is not the goal, but a possible tool
Setting up a company to invest in property in Barcelona can be a very useful structure where there is scale, reinvestment, several investors or a genuine business activity.
However, we should not create one solely because Corporate Income Tax appears lower than the marginal Personal Income Tax rate.
An individual can deduct expenses and, for certain residential lettings, apply significant reductions to positive net income.
A company, on the other hand, can facilitate reinvestment and portfolio organisation, but it introduces costs, accounting obligations and a possible second layer of taxation when profits reach the shareholder.
In addition, in Catalonia we must factor acquisition taxes, potential large-scale landlord status, Wealth Tax, large fortunes tax and the future transfer of the portfolio into the analysis.
At Barcelona Tributario, we are tax lawyers specialising in property investment and wealth planning in Barcelona. If you are considering setting up a company to invest in property in Barcelona, we first analyse the figures so that the structure reflects your actual investment strategy.
